Terms of Service

1. Introduction and Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the services, website, facilities, communications, deliverables, and related offerings provided by Maple Sound Forge Studio (“Maple Sound Forge Studio,” “we,” “us,” or “our”), a sound-studio business located at 245 Richmond Street West, Toronto, ON M5V 1V6, Canada.
By booking, purchasing, accessing, or using any service from Maple Sound Forge Studio, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any applicable service agreement, quote, invoice, project brief, or written addendum issued by Maple Sound Forge Studio. If you do not agree to these Terms, you must not use our services.
These Terms are intended to be interpreted in accordance with applicable laws in Canada, including applicable provincial and federal laws, and are subject to any mandatory consumer protection, privacy, and contract laws that cannot be waived.
2. Scope of Services
Maple Sound Forge Studio provides professional audio and production services, which may include, without limitation:
- Music recording;
- Audio mixing;
- Mastering;
- Podcast production;
- Voice-over recording;
- Sound design; and
- Post-production editing.
Specific deliverables, timelines, technical specifications, revision limits, and project requirements will be defined in the applicable quote, invoice, booking confirmation, or project brief. Any services not expressly included in a written agreement are excluded unless approved by Maple Sound Forge Studio in writing.
We reserve the right to decline, suspend, or terminate services where a project is unlawful, technically infeasible, unsafe, abusive, defamatory, infringing, or otherwise inconsistent with our professional standards or these Terms.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and current information when booking or communicating with us;
- Ensure that you have all necessary rights, permissions, licenses, releases, and consents for any audio, music, scripts, recordings, trademarks, likenesses, or other materials you provide;
- Deliver materials in the required format and by agreed deadlines;
- Cooperate promptly with requests for approvals, revisions, and technical information;
- Not submit content that is unlawful, infringing, obscene, harassing, defamatory, or otherwise harmful;
- Comply with studio rules, safety requirements, equipment handling instructions, and any reasonable directions from our staff; and
- Pay all fees, taxes, and charges when due.
You are solely responsible for the legality, accuracy, and suitability of all content you provide or approve. Maple Sound Forge Studio is not responsible for verifying ownership, clearance, or licensing of third-party materials supplied by you.
If you attend our premises or use our equipment, you agree to exercise reasonable care and to be liable for damage caused by your negligence, misuse, or unauthorized use.
4. Payment Terms and Conditions
All fees are set out in the applicable quote, invoice, or booking confirmation. Unless otherwise stated in writing:
- A deposit or advance payment may be required to secure a booking or begin work;
- All amounts are stated in Canadian dollars unless expressly indicated otherwise;
- Applicable taxes, including GST/HST, will be added where required by law;
- Invoices are payable by the due date specified on the invoice or within the timeframe communicated by Maple Sound Forge Studio;
- Late payments may result in suspension of work, delayed delivery, cancellation of bookings, and/or interest or administrative charges to the extent permitted by law;
- Any third-party costs, session musicians, licensing fees, file transfer charges, or special equipment rentals approved by you may be billed separately;
- Additional work outside the original scope, including extra revisions or rush services, may incur additional fees.
We may require full payment before releasing final files, stems, masters, or project assets, unless otherwise agreed in writing. Payment methods accepted will be communicated by Maple Sound Forge Studio from time to time.
5. Cancellation and Refund Policy
Bookings may be subject to cancellation fees. Unless a different policy is stated in writing for a specific project:
- If you cancel a booking with sufficient notice, any refundable portion of a deposit will be determined by the amount of work already performed and any non-recoverable costs incurred;
- If you cancel on short notice or fail to attend a scheduled session, you may forfeit all or part of any deposit and may be charged for reserved studio time;
- Rescheduling requests are subject to availability and may incur administrative or rebooking fees;
- Refunds are not guaranteed for completed services, delivered work, or change-of-mind requests;
- Where a refund is approved, it will be issued using the original payment method where practicable and within a reasonable time.
If Maple Sound Forge Studio cancels a session for reasons within our control, we will use commercially reasonable efforts to reschedule or provide a refund for the unused portion of prepaid fees, subject to any non-recoverable costs already incurred. No refund will be owed for delays or cancellations caused by force majeure, client breach, incomplete materials, or third-party failures outside our control.
6. Liability Limitations
To the maximum extent permitted by applicable law, Maple Sound Forge Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of data, loss of goodwill, or business interruption, arising out of or related to the use of our services or deliverables.
To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services shall not exceed the amount actually paid by you to Maple Sound Forge Studio for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to liability, or such lesser amount as may be required by law.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for gross negligence, wilful misconduct, fraud, or any liability that cannot lawfully be excluded under applicable Canadian law.
We do not guarantee that any service will achieve a particular commercial, artistic, technical, or distribution outcome. You acknowledge that creative services involve subjective judgment and that results may vary.
7. Intellectual Property Rights
Unless otherwise agreed in writing:
- You retain ownership of pre-existing materials you supply to Maple Sound Forge Studio;
- Maple Sound Forge Studio retains ownership of its pre-existing tools, templates, workflows, techniques, session files, know-how, and proprietary materials;
- Upon full payment of all applicable fees, you will receive the rights expressly granted in the project agreement or invoice regarding final deliverables;
- Raw session files, project files, multitracks, and working files remain the property of Maple Sound Forge Studio unless otherwise stated in writing;
- We may retain copies of project materials for archival, backup, quality control, and legal compliance purposes.
You grant Maple Sound Forge Studio a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, process, and store materials you provide solely for the purpose of performing the services.
Unless you object in writing before publication, Maple Sound Forge Studio may, subject to confidentiality obligations and applicable law, reference your project in its portfolio, reels, marketing materials, or social media in a manner that does not disclose confidential information beyond what is reasonably necessary to identify the work.
You are responsible for obtaining all necessary clearances for any third-party copyrighted content, samples, performances, trademarks, or likenesses included in your project. We do not provide legal clearance services and do not warrant that your content is free from infringement claims.
8. Data Protection and Privacy
Maple Sound Forge Studio collects, uses, stores, and discloses personal information only as necessary to provide services, manage bookings, process payments, communicate with clients, maintain records, and comply with legal obligations. We will handle personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation.
By using our services, you consent to the collection, use, and disclosure of your personal information for the purposes described in these Terms and in any applicable privacy notice. We may share personal information with service providers such as payment processors, cloud storage providers, accounting services, and IT support providers, subject to appropriate confidentiality and security safeguards.
You are responsible for ensuring that any personal information you provide about third parties has been collected and shared lawfully, including any required consents.
We take reasonable administrative, technical, and physical measures to protect personal information, but no system is completely secure. To the extent permitted by law, we are not liable for unauthorized access, disclosure, or loss caused by events outside our reasonable control.
9. Force Majeure
Maple Sound Forge Studio shall not be liable for any delay, failure, or interruption in performance caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, power outages, internet or telecommunications failures, equipment breakdown, labor disputes, illness, government action, public health emergencies, civil unrest, war, terrorism, or failures of third-party suppliers or platforms.
If a force majeure event occurs, we may suspend performance for the duration of the event and will use commercially reasonable efforts to resume services as soon as practicable. If the event materially affects a project, the parties may agree to reschedule, modify the scope, or terminate the affected services on fair and reasonable terms.
10. Changes to Terms
Maple Sound Forge Studio may update or modify these Terms from time to time to reflect operational, legal, or business changes. The updated Terms will be effective when posted on our website or otherwise communicated to you, unless a later effective date is stated.
Your continued use of our services after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services and, where applicable, notify us before continuing with any ongoing project.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or any related transaction shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the services, subject to any mandatory rights you may have under applicable consumer protection laws.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. If any invalid or unenforceable provision can be modified to make it valid and enforceable, it shall be interpreted to the extent necessary to reflect the original intent of the parties as closely as possible and in accordance with applicable law.
By using the services of Maple Sound Forge Studio, you acknowledge that you have read and understood these Terms and agree to be bound by them.
