1. Introduction and Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the services, website, facilities, communications, deliverables, and related offerings provided by Maple Sound Forge Studio (“Maple Sound Forge Studio,” “we,” “us,” or “our”), a sound-studio business located at 245 Richmond Street West, Toronto, ON M5V 1V6, Canada.

By booking, purchasing, accessing, or using any service from Maple Sound Forge Studio, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any applicable service agreement, quote, invoice, project brief, or written addendum issued by Maple Sound Forge Studio. If you do not agree to these Terms, you must not use our services.

These Terms are intended to be interpreted in accordance with applicable laws in Canada, including applicable provincial and federal laws, and are subject to any mandatory consumer protection, privacy, and contract laws that cannot be waived.

2. Scope of Services

Maple Sound Forge Studio provides professional audio and production services, which may include, without limitation:

Any services not expressly included in a written agreement are excluded unless approved by Maple Sound Forge Studio in writing.

We reserve the right to decline, suspend, or terminate services where a project is unlawful, technically infeasible, unsafe, abusive, defamatory, infringing, or otherwise inconsistent with our professional standards or these Terms.

3. User Obligations and Responsibilities

You are solely responsible for the legality, accuracy, and suitability of all content you provide or approve. Maple Sound Forge Studio is not responsible for verifying ownership, clearance, or licensing of third-party materials supplied by you.

If you attend our premises or use our equipment, you agree to exercise reasonable care and to be liable for damage caused by your negligence, misuse, or unauthorized use.

4. Payment Terms and Conditions

All fees are set out in the applicable quote, invoice, or booking confirmation. Unless otherwise stated in writing:

We may require full payment before releasing final files, stems, masters, or project assets, unless otherwise agreed in writing. Payment methods accepted will be communicated by Maple Sound Forge Studio from time to time.

5. Cancellation and Refund Policy

Bookings may be subject to cancellation fees. Unless a different policy is stated in writing for a specific project:

If Maple Sound Forge Studio cancels a session for reasons within our control, we will use commercially reasonable efforts to reschedule or provide a refund for the unused portion of prepaid fees, subject to any non-recoverable costs already incurred. No refund will be owed for delays or cancellations caused by force majeure, client breach, incomplete materials, or third-party failures outside our control.

6. Liability Limitations

To the maximum extent permitted by applicable law, Maple Sound Forge Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of data, loss of goodwill, or business interruption, arising out of or related to the use of our services or deliverables.

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services shall not exceed the amount actually paid by you to Maple Sound Forge Studio for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to liability, or such lesser amount as may be required by law.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for gross negligence, wilful misconduct, fraud, or any liability that cannot lawfully be excluded under applicable Canadian law.

We do not guarantee that any service will achieve a particular commercial, artistic, technical, or distribution outcome. You acknowledge that creative services involve subjective judgment and that results may vary.

7. Intellectual Property Rights

Unless otherwise agreed in writing:

You grant Maple Sound Forge Studio a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, process, and store materials you provide solely for the purpose of performing the services.

Unless you object in writing before publication, Maple Sound Forge Studio may, subject to confidentiality obligations and applicable law, reference your project in its portfolio, reels, marketing materials, or social media in a manner that does not disclose confidential information beyond what is reasonably necessary to identify the work.

You are responsible for obtaining all necessary clearances for any third-party copyrighted content, samples, performances, trademarks, or likenesses included in your project. We do not provide legal clearance services and do not warrant that your content is free from infringement claims.

8. Data Protection and Privacy

Maple Sound Forge Studio collects, uses, stores, and discloses personal information only as necessary to provide services, manage bookings, process payments, communicate with clients, maintain records, and comply with legal obligations. We will handle personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation.

By using our services, you consent to the collection, use, and disclosure of your personal information for the purposes described in these Terms and in any applicable privacy notice. We may share personal information with service providers such as payment processors, cloud storage providers, accounting services, and IT support providers, subject to appropriate confidentiality and security safeguards.

You are responsible for ensuring that any personal information you provide about third parties has been collected and shared lawfully, including any required consents.

We take reasonable administrative, technical, and physical measures to protect personal information, but no system is completely secure. To the extent permitted by law, we are not liable for unauthorized access, disclosure, or loss caused by events outside our reasonable control.

9. Force Majeure

Maple Sound Forge Studio shall not be liable for any delay, failure, or interruption in performance caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, power outages, internet or telecommunications failures, equipment breakdown, labor disputes, illness, government action, public health emergencies, civil unrest, war, terrorism, or failures of third-party suppliers or platforms.

If a force majeure event occurs, we may suspend performance for the duration of the event and will use commercially reasonable efforts to resume services as soon as practicable. If the event materially affects a project, the parties may agree to reschedule, modify the scope, or terminate the affected services on fair and reasonable terms.

10. Changes to Terms

Maple Sound Forge Studio may update or modify these Terms from time to time to reflect operational, legal, or business changes. The updated Terms will be effective when posted on our website or otherwise communicated to you, unless a later effective date is stated.

Your continued use of our services after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services and, where applicable, notify us before continuing with any ongoing project.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or any related transaction shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the services, subject to any mandatory rights you may have under applicable consumer protection laws.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. If any invalid or unenforceable provision can be modified to make it valid and enforceable, it shall be interpreted to the extent necessary to reflect the original intent of the parties as closely as possible and in accordance with applicable law.
